By accessing or using Planvex at planvex.vercel.app (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
These Terms form a legally binding contract between you and Spatial Connect Limited, a company registered in England and Wales (Company No: 16709989) ("Spatial Connect", "we", "us", or "our").
These Terms are a contract exclusively with Spatial Connect Limited as a legal entity. By accepting these Terms, you expressly and irrevocably waive any right to bring any claim, action, suit, or proceeding of any kind against any individual director, officer, employee, agent, shareholder, advisor, consultant, or other person associated with Spatial Connect Limited, whether in their personal or professional capacity.
Any dispute or legal action arising out of or in connection with these Terms, the Service, or your use thereof shall be directed solely and exclusively against Spatial Connect Limited as a company.
If, notwithstanding this clause, you attempt to bring any claim, action, or proceeding against any individual associated with Spatial Connect Limited in connection with these Terms or the Service:
(a) you shall indemnify and hold harmless Spatial Connect Limited for all legal costs, reasonable expenses, counsel fees, and any amounts paid in settlement or judgment arising from or in connection with that action;
(b) you grant Spatial Connect Limited the right (but not the obligation) to defend, at its sole expense, any such individual against whom you have brought such a claim, and you agree to cooperate fully with that defence; and
(c) you forfeit all claims and remedies you may otherwise have had against Spatial Connect Limited arising from the same subject matter as the claim brought against the individual.
No individual associated with Spatial Connect Limited shall be personally liable to you under contract, tort (including negligence), statute, equity, or any other legal theory for anything arising out of or relating to these Terms or the Service.
Planvex is a web-based project management tool that provides the following features and functionality:
References to specific third-party AI tools (including Claude Code, Cursor, Gemini CLI, and ChatGPT) or any other third-party tool or service indicate technical compatibility only and do not constitute an endorsement, recommendation, or guarantee of the safety, reliability, or fitness for purpose of any such tool, whether for supervised or autonomous use.
The Service is provided on an "as is" and "as available" basis without any representations, warranties, or conditions of any kind except as expressly stated in these Terms.
Spatial Connect provides no service level agreement (SLA) and makes no guarantee of uptime, availability, or performance. Without limitation:
(a) the Service may be taken offline for maintenance, updates, or infrastructure work at any time without prior notice;
(b) bugs, errors, and defects may remain unfixed for any period of time, including indefinitely;
(c) the Service may be suspended or shut down at any time, including immediately and without advance notice, where Spatial Connect determines this is necessary for security, legal compliance, commercial, or any other reason;
(d) response times and throughput may degrade at any time without notice.
Your sole remedy in the event of any unavailability or degradation is to stop using the Service.
The Service is built on and depends on third-party infrastructure and services, including but not limited to:
Spatial Connect exercises no control over these third-party services and is not liable for any loss, damage, data breach, unavailability, discontinuation, or change in terms arising from or in connection with any such third-party service.
If any third-party service is breached, becomes unavailable, is discontinued, or changes its terms or pricing in a way that affects the Service, Spatial Connect is not liable to you for any resulting impact on the Service or your data. For example, and without limitation, if Anthropic discontinues its API or changes its pricing or availability, AI chat features will be removed or modified without prior warning to you, and Spatial Connect has no obligation to provide any alternative, refund, or compensation.
Spatial Connect reserves the right to modify, suspend, limit, or permanently terminate any feature, functionality, integration, or the entire Service at any time, with or without notice and without liability to you.
Spatial Connect has no obligation to:
(a) provide you with advance notice of any modification or termination;
(b) maintain backward compatibility between versions of the Service;
(c) migrate, export, or preserve your data in connection with any modification;
(d) offer refunds, credits, or compensation of any kind for any modification, suspension, or termination;
(e) provide any alternative service or functionality in place of any feature that is modified, suspended, or removed.
Your sole remedy in the event of any modification, suspension, or termination of any part of the Service is to stop using the Service and export your data via the export tool in your account settings or by emailing hello@spatialconnect.app.
The Service is currently provided on an early access basis. Pricing, tiers, and free access may change at any time without notice. Continued use of the Service after any pricing change constitutes acceptance of that change.
You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you are at least 16 years old. If you are under 16, you must not use the Service. If Spatial Connect discovers that a user is under 16, we will terminate that user's account immediately.
If you are using the Service on behalf of an organisation, company, partnership, or other legal entity, you represent and warrant that:
(a) you have full legal authority to bind that entity to these Terms;
(b) you have read and understood these Terms; and
(c) you agree to these Terms on behalf of that entity, and these Terms bind that entity.
If you do not have such authority, you must not accept these Terms or use the Service on behalf of that entity. In the event of a dispute about organisational authority, the individual accepting these Terms shall be personally bound by them.
Access to the Service requires you to create an account. You may register using GitHub. You agree to provide accurate, current, and complete information during registration and to keep that information accurate and up to date.
You are solely responsible for:
(a) maintaining the confidentiality and security of your account credentials;
(b) all activity that occurs under your account, whether or not authorised by you;
(c) ensuring that any person using your account complies with these Terms; and
(d) logging out of your account after each session, particularly when using shared or public devices.
You must notify Spatial Connect immediately at hello@spatialconnect.app if you become aware of any unauthorised access to or use of your account. Spatial Connect is not liable for any loss or damage arising from your failure to maintain account security or from any unauthorised use of your account.
Unless expressly authorised by Spatial Connect in writing, you may not create more than one account per person. Accounts created for the purpose of circumventing service limits, accessing trial features multiple times, or evading a suspension or ban may be terminated without notice.
By using the Service, you agree not to:
(a) use the Service for any unlawful purpose or in violation of any applicable local, national, or international law or regulation;
(b) attempt to access, tamper with, or use any account, data, or systems belonging to or associated with another user without their express authorisation;
(c) upload, transmit, or distribute malicious code, viruses, worms, trojan horses, spyware, ransomware, or any other harmful or disruptive software or data;
(d) interfere with, disrupt, or damage the security, integrity, or performance of the Service or any connected infrastructure;
(e) attempt to circumvent any rate limits, access controls, authentication mechanisms, or usage quotas imposed by Spatial Connect;
(f) access the Service through automated means, scripts, bots, crawlers, or scrapers without Spatial Connect's prior written permission, except where such access is expressly permitted via the MCP server or API in accordance with these Terms;
(g) harass, intimidate, threaten, or abuse any other user or collaborator through the Service;
(h) submit false, misleading, or fraudulent data, information, or content via the Service;
(i) impersonate any person or entity, or falsely represent your affiliation with any person or entity;
(j) attempt to reverse engineer, decompile, disassemble, or extract source code from the Service or any component thereof;
(k) use the Service to store or transmit content that infringes any third-party intellectual property right, breaches any duty of confidentiality, or is defamatory, obscene, or otherwise unlawful; or
(l) use the Service in any way that could reasonably be expected to bring Spatial Connect into disrepute.
Violation of these acceptable use obligations may result in immediate suspension or termination of your account, at Spatial Connect's sole discretion, without notice and without liability to you. Spatial Connect reserves the right to cooperate with law enforcement or other authorities in investigating any suspected violation of applicable law.
You retain full ownership of all content that you create, upload, submit, or transmit via the Service, including tasks, notes, comments, descriptions, attachments, and any other data you enter ("User Content"). These Terms do not transfer any ownership rights in your User Content to Spatial Connect.
By submitting User Content to the Service, you grant Spatial Connect Limited a worldwide, non-exclusive, royalty-free, sublicensable (solely to third-party service providers as necessary to operate the Service) licence to use, store, process, reproduce, display, and transmit your User Content solely to the extent necessary to provide the Service to you and your authorised collaborators.
This licence is limited to the purpose of operating and improving the Service. Spatial Connect will not sell your User Content to third parties or use it for advertising purposes.
This licence terminates when you delete your User Content or your account, subject to reasonable data retention periods required by law or described in our Privacy Policy.
You are solely responsible for all User Content you submit to the Service. You represent and warrant that:
(a) you have all necessary rights, licences, consents, and permissions to submit the User Content and to grant Spatial Connect the licence described in Section 7.2;
(b) the User Content does not infringe any third-party intellectual property right, privacy right, or any other proprietary or legal right;
(c) the User Content does not contain any material that is defamatory, obscene, fraudulent, unlawful, or otherwise objectionable under applicable law; and
(d) the User Content is accurate and does not contain any information that misleads or deceives others.
Spatial Connect does not pre-screen User Content and has no obligation to review, monitor, or police User Content. However, Spatial Connect reserves the right to remove any User Content that violates these Terms or applicable law, without notice and without liability to you.
Planvex includes an AI chat assistant powered by Anthropic's Claude API. This AI functionality is provided by Anthropic PBC, a third party not affiliated with Spatial Connect. When you use the AI chat feature, your messages and relevant project context are transmitted to and processed by Anthropic's API in accordance with Anthropic's terms of service and privacy policy. Anthropic does not use API data to train its models.
Planvex also includes a deep research feature, available in both the AI chat assistant and via MCP. When deep research is triggered, your query and relevant context are transmitted to OpenRouter, an AI model aggregation service, which routes the request to one or more third-party AI model providers. The specific models used may vary as we update the composition to reflect the latest available models. Spatial Connect does not control how those providers handle your data.
Spatial Connect does not develop, train, or control any underlying AI model. Spatial Connect provides the interface and integration only.
Spatial Connect makes no warranty that AI features will be:
(a) available at any particular time or on a continuous basis;
(b) accurate, complete, factually correct, or up to date;
(c) suitable for any particular purpose or task;
(d) free from errors, hallucinations, inaccuracies, or inappropriate content; or
(e) consistent with prior responses or behaviour; or
(f) safe, reliable, or predictable when used autonomously or without continuous human supervision.
Descriptions of autonomous or unattended operation in Spatial Connect's documentation, tutorials, or marketing materials describe modes of use that the Service supports, but do not constitute warranties that such modes will produce correct, safe, or predictable results in all circumstances.
AI responses may contain factual errors, fabricated information, outdated information, or content that is misleading, offensive, or otherwise harmful. AI features may be changed, restricted, or removed at any time without notice.
You must independently verify all AI-generated suggestions, outputs, recommendations, or information before acting upon them. You must not rely on AI output as a substitute for your own professional judgment, legal advice, financial advice, or expert consultation.
Where you use the MCP server to connect AI tools that autonomously create, modify, or delete project data, you are responsible for reviewing the output of MCP-connected tools at intervals you determine to be appropriate. Failure to review AI-generated modifications does not give rise to any liability on the part of Spatial Connect for those modifications.
Spatial Connect is not liable for any loss, damage, cost, expense, or harm of any kind arising from your reliance on AI-generated output without independent verification. This applies regardless of whether Spatial Connect was advised of the possibility of such reliance.
AI conversation history is stored in the Planvex database in association with your account. You may delete individual conversations through the Service interface. Deleted conversations will be removed from our database within 30 days, subject to any legal retention obligations.
You are solely responsible for the content of your AI chat messages. You must not include in AI chat messages any information that is highly sensitive, confidential, subject to legal privilege, regulated under data protection law in a manner incompatible with transmission to third-party AI APIs, or that you are prohibited from sharing with third parties. Spatial Connect is not responsible for any consequences arising from your inclusion of such information in AI chat messages.
Planvex provides a Model Context Protocol (MCP) server that allows authenticated third-party AI tools and applications to programmatically read and write your project data. By connecting a third-party AI tool via the MCP server, you:
(a) expressly authorise that tool to access, read, create, modify, and delete your tasks, epics, notes, comments, and any other project data to which the tool has been granted access;
(b) acknowledge and accept that any modifications, deletions, or additions made by that AI tool to your project data are binding on you and may not be reversible by Spatial Connect;
(c) accept sole responsibility for all actions taken by any third-party AI tool or application that you have authenticated to access your account via MCP, including unintended or harmful actions;
(d) agree to immediately revoke access to any connected AI tool via your account Settings if you no longer trust that tool, no longer use it, or have any reason to believe it is acting in an unintended manner; and
(e) acknowledge that Spatial Connect has no visibility into or control over the logic, behaviour, or decision-making of third-party AI tools that connect to your account via MCP;
(f) acknowledge that the MCP server does not provide locking, transactional guarantees, or conflict resolution for concurrent access by multiple AI tools or agents, and that if you connect multiple AI tools to the same project simultaneously, race conditions, data conflicts, overwritten changes, or data loss may occur, for which you accept sole responsibility;
(g) accept sole responsibility for maintaining independent backups of all project data, particularly before and during any period of MCP-connected AI tool access or autonomous operation, and acknowledge that Spatial Connect has no obligation to maintain backups on your behalf or to restore data lost or corrupted during MCP-connected tool access; and
(h) accept sole responsibility for informing any collaborators or team members whose project data may be accessed or modified by AI tools that you connect via MCP, and acknowledge that Spatial Connect has no obligation to notify your collaborators of your MCP connections.
Spatial Connect is not liable for any data that is read, copied, exported, written, modified, or deleted by any third-party AI tool or application that you have connected to your account via the MCP server.
Any loss of data, corruption of project data, unintended modifications, privacy incidents, or any other damage caused or contributed to by a third-party AI tool connected via MCP is the sole responsibility of the user who authenticated that tool. You accept this risk as a condition of using the MCP server functionality.
Once project data has been served to a third-party AI tool via the MCP server, Spatial Connect has no ability to recall, delete, or control the retention of that data by the third-party tool or its provider. Revoking MCP access prevents future data access but does not affect data already obtained by the tool.
AI features and MCP server access may be subject to rate limiting, token limits, message limits, request quotas, or other usage restrictions. These limits may be applied, modified, or removed at Spatial Connect's sole discretion and without notice.
Spatial Connect reserves the right to throttle, suspend, or terminate any MCP connection or API access that, in Spatial Connect's sole judgment:
(a) generates request volumes that degrade service performance for other users;
(b) exhibits patterns consistent with automated abuse, including but not limited to high-frequency polling, rapid successive mutations, or bulk data extraction;
(c) causes or threatens to cause excessive load on Spatial Connect's infrastructure or third-party infrastructure on which the Service depends; or
(d) exceeds any published usage threshold applicable to your account or subscription tier.
Spatial Connect is not liable for any loss, damage, or disruption arising from the application of usage limits or any throttling, suspension, or termination of automated access under this Section 8.7.
Your use of AI features is additionally governed by the terms of the relevant AI providers. For the AI chat assistant, this includes Anthropic's Terms of Service (anthropic.com). For deep research, this includes OpenRouter's Terms of Service and the terms of whichever underlying model providers OpenRouter routes your request to. Spatial Connect is not responsible for the conduct, data handling, or policy changes of any of these providers. You are responsible for reviewing and complying with their terms as they apply to your use of the Service.
You may connect third-party analytics and support platforms to the AI planning assistant. By doing so:
(a) you confirm you have the right to share data from those platforms with Planvex and Anthropic, including any personal data of your own users or customers;
(b) you accept that Planvex will query those platforms and transmit the results to Anthropic's API or, where deep research is invoked, to OpenRouter's API, to generate recommendations;
(c) Spatial Connect is not responsible for how Anthropic handles data retrieved from your connected integrations.
The Service, including its MCP server, is designed to be accessed by third-party AI tools and agents that may operate autonomously, semi-autonomously, or without active human supervision ("Autonomous Operation"). By enabling or permitting Autonomous Operation of any AI tool or agent that accesses the Service, you:
(a) acknowledge that you are solely responsible for configuring, monitoring, and supervising all AI tools and agents that access the Service on your behalf, regardless of whether you are actively monitoring their operation at any given time;
(b) accept that AI tools and agents operating autonomously may take actions - including creating, modifying, or deleting data within the Service and taking actions outside the Service based on data obtained from the Service - that you did not specifically intend or anticipate;
(c) assume all risk arising from any action taken by an AI tool or agent during Autonomous Operation, including but not limited to unintended data modifications, data loss, service disruption, and any downstream consequences of actions taken outside the Service based on information obtained from the Service;
(d) agree that Spatial Connect has no obligation to detect, prevent, interrupt, or reverse any action taken by an AI tool or agent during Autonomous Operation;
(e) agree that descriptions of autonomous or unattended AI agent operation in Spatial Connect's documentation, tutorials, or marketing materials describe a supported mode of use but do not constitute a representation or warranty that AI agents will operate correctly, safely, or predictably without human oversight; and
(f) agree that the disclaimers, limitations of liability, and indemnification obligations in these Terms apply in full to all consequences arising from Autonomous Operation.
The Service provides project management data (including task descriptions, specifications, notes, comments, and other project context) to authenticated AI tools via the MCP server and AI chat features. You acknowledge and agree that:
(a) Spatial Connect is not liable for any action that any AI tool, agent, or application takes outside the Service based on, informed by, or in response to data obtained from the Service, including but not limited to: writing, modifying, or deleting source code or files; executing commands or scripts; deploying software to any environment; making API calls to third-party services; or any other action in your local, cloud, or production environments;
(b) the Service provides project context and information only - it does not instruct, direct, or command any AI tool to take any specific action outside the Service, and any information provided by the Service to AI tools via the MCP server is provided as context for the AI tool to process at its own discretion;
(c) you are solely responsible for independently verifying the accuracy and appropriateness of any information obtained from the Service before using it as context for any purpose, including software development, deployment, or business decisions; and
(d) Spatial Connect's liability exclusions under Section 12 apply in full to all downstream consequences of any action taken outside the Service, regardless of whether the action was informed by data obtained from the Service.
Data served to third-party AI tools via the MCP server is provided on an "as is" basis. Spatial Connect does not warrant that data served via the MCP server will be:
(a) current, up-to-date, or reflecting the most recent state of your project data at the moment of access;
(b) free from errors, inconsistencies, or data integrity issues arising from concurrent access, caching, replication delays, or software defects;
(c) complete or inclusive of all relevant project data; or
(d) delivered without latency, delay, or interruption.
You are solely responsible for verifying the accuracy and currency of any data obtained via the MCP server before relying on it or permitting any AI tool to act upon it. Spatial Connect is not liable for any loss, damage, or consequence arising from any AI tool or agent acting on stale, incomplete, or inaccurate data served via the MCP server.
The Service is a general-purpose project management tool and is not designed, intended, or certified for use in any industry or application subject to specific regulatory requirements, including but not limited to:
(a) healthcare and medical devices (including applications subject to HIPAA, the Medical Devices Regulation, or equivalent);
(b) financial services, banking, insurance, or payment processing (including applications subject to PCI-DSS, FCA regulations, or equivalent);
(c) defence, military, or national security applications;
(d) critical infrastructure, including energy, transport, water, and telecommunications;
(e) any application where failure could result in death, personal injury, or significant property damage; or
(f) any application subject to AI-specific regulation, including but not limited to the EU Artificial Intelligence Act or any comparable regulatory framework applicable in any jurisdiction.
If you use the Service or permit AI tools connected via MCP to access the Service in connection with any regulated industry or application, you do so entirely at your own risk. Spatial Connect makes no representation that the Service complies with any industry-specific regulation, standard, or certification. You are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and industry standards.
The Service, including all software, code, algorithms, designs, interfaces, graphics, text, documentation, and all other content comprising the Service (excluding User Content), is owned by Spatial Connect Limited or its licensors and is protected by copyright, trade mark, patent, and other intellectual property laws of England and Wales and applicable international laws.
You may not, without the prior written consent of Spatial Connect:
(a) copy, reproduce, duplicate, archive, or create backup copies of any part of the Service other than as permitted by applicable law;
(b) modify, adapt, translate, or create derivative works based on the Service or any part of it;
(c) distribute, sell, license, sublicense, rent, lease, or transfer any part of the Service to any third party;
(d) publicly perform, display, or communicate the Service to the public;
(e) frame or mirror any part of the Service on any other website or application; or
(f) copy or reproduce any part of the Service's code or design assets to build any other product or service.
"Planvex" and associated logos, product names, and service marks are trade marks of Spatial Connect Limited. You may not use these marks without Spatial Connect's prior written consent. Nothing in these Terms grants you any right to use any trade mark, trade name, or logo of Spatial Connect.
Subject to your compliance with these Terms, Spatial Connect grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your own internal purposes (personal or organisational) in accordance with these Terms.
This is a licence, not a sale. You receive no ownership interest in the Service or any part of it. Spatial Connect may revoke this licence at any time, for any reason, without notice and without liability to you. Upon revocation, you must immediately cease all use of the Service.
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and processing of your personal data as described in the Privacy Policy.
Spatial Connect may collect anonymised or aggregated usage data, telemetry, and analytics data to understand how the Service is used, diagnose problems, and improve the Service. This data is handled in accordance with our Privacy Policy.
Your data is stored and processed using Supabase (database and authentication infrastructure). Data may be hosted in data centres outside the United Kingdom. Spatial Connect takes reasonable steps to ensure that international data transfers comply with applicable data protection law, as described in the Privacy Policy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPATIAL CONNECT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Spatial Connect does not warrant or represent that:
(a) the Service will operate without error, interruption, or downtime;
(b) any defects or errors in the Service will be corrected;
(c) the Service or any servers or infrastructure used to provide it are free from viruses, malicious code, or other harmful components; or
(d) the Service or your data stored within it will be secure from unauthorised access.
Spatial Connect is not responsible for the accuracy, completeness, reliability, or legality of any data, information, or content entered into the Service by you or any other user. The Service is a tool for organising and displaying information that you provide; it does not verify, validate, or guarantee the correctness of any user-submitted data.
Project data, task records, notes, comments, and any other content stored in the Service are tools for your own reference and organisational purposes only. They do not constitute legally binding records, contracts, commitments, evidence of performance, or legally admissible documents unless you have taken independent steps to give them that effect. Spatial Connect does not warrant the integrity or admissibility of any data stored in the Service for any legal or regulatory purpose.
Spatial Connect is not responsible for and will not mediate any dispute between team members, collaborators, employees, or contractors regarding tasks, assignments, deadlines, project decisions, or any other matter arising from the use of the Service. Such disputes are entirely between the parties involved.
Nothing in the Service, including AI chat responses, constitutes financial advice, legal advice, project management consulting advice, or any other form of professional advice. You should consult qualified professionals before making decisions based on information obtained from the Service.
SPATIAL CONNECT DOES NOT PROVIDE DATA BACKUP SERVICES. YOUR DATA IS NOT GUARANTEED TO BE PRESERVED. Data stored in the Service may be deleted, lost, or become inaccessible without notice in circumstances including but not limited to:
(a) account termination or suspension, whether voluntary or imposed;
(b) account inactivity for a continuous period exceeding 12 months;
(c) server failure, hardware failure, data corruption, or software error;
(d) legal process, court order, regulatory requirement, or government demand requiring deletion;
(e) a decision by Spatial Connect to discontinue the Service or certain features for business, commercial, or any other reason.
You are solely responsible for exporting and maintaining your own backups of any data you store in the Service. Spatial Connect provides data export functionality in your account settings; if unavailable, you may request your data by emailing hello@spatialconnect.app. Spatial Connect is not liable for any loss of data, regardless of cause.
By using the Service, you accept and assume the following risks:
(a) the Service may contain bugs, errors, or security vulnerabilities that could affect the integrity, availability, or confidentiality of your data;
(b) your data may be lost, exposed, corrupted, or rendered inaccessible as a result of technical failures or security incidents;
(c) AI-generated responses may be incorrect, misleading, or harmful, and you may suffer harm by relying on them;
(d) third-party AI tools connected to your account via the MCP server may corrupt, overwrite, or delete your project data in ways that cannot be reversed, and decisions or actions you take based on AI-generated recommendations from the Planvex planning assistant may have unintended consequences for your business or projects;
(e) your account may be suspended or terminated without warning;
(f) features you rely upon may be removed or substantially changed without notice; and
(g) the Service may be shut down permanently, resulting in the permanent loss of all data stored within it.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPATIAL CONNECT SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO:
(a) loss of profits, revenue, or anticipated savings;
(b) loss of data, loss of business, or loss of goodwill;
(c) business interruption or project delays;
(d) cost of substitute services or products;
(e) damage to reputation;
(f) loss arising from reliance on AI-generated outputs;
(g) loss arising from actions taken by third-party AI tools via the MCP server;
WHETHER OR NOT SPATIAL CONNECT WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY.
Where Spatial Connect is found liable for direct damages that are not excluded under Section 12.1 or Section 12.3:
(a) For non-consumer users and business users: Spatial Connect's total aggregate liability for all claims arising under or in connection with these Terms shall not exceed the total amount you have paid to Spatial Connect in the 12 months immediately preceding the event giving rise to the claim (which shall be £0 if the Service was provided to you free of charge at the time the claim arose).
(b) For consumer users (natural persons using the Service for purposes wholly or mainly outside their trade, business, craft, or profession): Spatial Connect's total aggregate liability for direct damages shall not exceed: (i) the total amount you have paid to Spatial Connect in the 12 months immediately preceding the event giving rise to the claim; or (ii) £50 (fifty pounds sterling), if the Service was provided to you free of charge at the time the claim arose.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded under applicable law.
The limitations and exclusions in this Section 12 apply to the maximum extent permitted by applicable law and regardless of the form of action, whether in contract, tort (including negligence), statute, equity, or otherwise. They apply in favour of Spatial Connect and all of its officers, directors, employees, agents, and service providers.
You agree to indemnify, defend, and hold harmless Spatial Connect Limited and its officers, directors, employees, contractors, agents, successors, and assigns from and against any and all claims, demands, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
(a) your use of or access to the Service, including any use by anyone using your account;
(b) your violation of any provision of these Terms;
(c) your violation of any applicable law, regulation, or third-party right;
(d) any User Content you submit to the Service, including any claim that your User Content infringes any third-party right;
(e) your connection of any third-party AI tool to your account via the MCP server, including any actions taken by that tool whether during supervised or autonomous operation, and any downstream action taken by any tool or agent outside the Service based on data obtained from the Service;
(f) any dispute between you and any other user, collaborator, team member, or third party arising from your use of the Service;
(g) any claim arising from the use of the Service or data obtained from the Service in connection with software development, deployment, or operation in any regulated industry or critical application; and
(h) any regulatory fine, penalty, enforcement action, or compliance cost arising from your use of the Service in connection with any regulated industry, critical application, or any application subject to industry-specific regulation.
Spatial Connect reserves the right to assume the exclusive defence and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with Spatial Connect's defence of any such claim and not to settle any claim without Spatial Connect's prior written consent.
Before initiating any formal dispute resolution proceedings, either party may attempt to resolve the dispute informally by contacting Spatial Connect at hello@spatialconnect.app with a written description of the dispute and the relief sought. This informal resolution process is voluntary. Either party may proceed to formal arbitration at any time if informal resolution appears unlikely or if the other party does not respond within a reasonable time.
Attempting informal resolution is not a precondition to bringing a claim through arbitration or any other permitted dispute resolution mechanism.
Subject to Sections 14.4 and 14.5, any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the breach, termination, or validity of these Terms shall be finally resolved by binding arbitration administered by the London Court of International Arbitration (LCIA) under the LCIA Arbitration Rules in force at the time of the arbitration.
The arbitration shall be conducted on the following terms:
(a) Seat: London, United Kingdom;
(b) Language: English;
(c) Number of arbitrators: One sole arbitrator, appointed in accordance with the LCIA Arbitration Rules;
(d) Conduct: The arbitration shall be conducted remotely (by video conference or written submissions) where reasonably practicable; and
(e) Confidentiality: The arbitration and all submissions, proceedings, and awards shall be confidential.
The arbitrator's award shall be final and binding on the parties and may be entered as a judgment in any court of competent jurisdiction.
All disputes and claims shall be resolved individually. You agree that you will not bring any claim as a claimant or class member in any class action, collective action, multi-party claim, representative proceeding, or Group Litigation Order (GLO) against Spatial Connect.
You waive any right to consolidate your claim with the claim of any other person or to have any claim heard on a class or representative basis.
If any provision of this Section 14.3 is held to be unenforceable under applicable law, that provision shall be severed and the remainder of Section 14 shall continue in full force and effect to the maximum extent permitted by law.
If you are a consumer (a natural person acting for purposes wholly or mainly outside your trade, business, craft, or profession), you may opt out of the arbitration requirement in Section 14.2 by sending written notice to hello@spatialconnect.app within 30 days of the date on which you first use the Service. Your notice must include your name, the email address associated with your account, and a clear statement that you are opting out of arbitration.
If you validly opt out, any dispute between you and Spatial Connect that is not resolved informally shall be subject to the exclusive jurisdiction of the courts of England and Wales, subject to your rights as a consumer under applicable law to bring proceedings in the courts of your place of residence.
If you do not opt out within 30 days, you will be deemed to have accepted the arbitration requirement.
The arbitration requirement in Section 14.2 does not apply to:
(a) claims that qualify for the small claims track of the County Court in England and Wales (currently claims of £10,000 or less), which may be brought in the small claims track without proceeding to arbitration;
(b) claims by either party for emergency or interim injunctive or other equitable relief to prevent irreparable harm, pending the outcome of arbitration; or
(c) disputes concerning the ownership, validity, or infringement of intellectual property rights (including trade marks, copyright, and patents), which either party may bring in any court of competent jurisdiction.
These Terms, and any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales.
Spatial Connect reserves the right to modify these Terms at any time. When modifications are made, we will update the "Last updated" date at the top of this document. We may also notify you of material changes by displaying a notice within the Service or sending an email to the address associated with your account.
Your continued use of the Service after any modification to these Terms constitutes your acceptance of the modified Terms. If you do not agree with any modification to these Terms, you must stop using the Service immediately.
It is your responsibility to review these Terms periodically.
You may terminate your account at any time by using the account deletion functionality in your account settings. Termination does not entitle you to any refund of any amounts paid.
Spatial Connect may suspend or permanently terminate your account and your access to the Service at any time, with or without notice and without liability to you, including for the following reasons (which are illustrative and not exhaustive):
(a) you have violated or Spatial Connect reasonably suspects that you have violated any provision of these Terms;
(b) Spatial Connect is required to do so by law or legal process;
(c) Spatial Connect is discontinuing the Service or any material part of it;
(d) Spatial Connect determines, in its sole discretion, that continued provision of the Service to you poses a legal, security, or reputational risk to Spatial Connect.
Upon termination of your account, for any reason:
(a) your licence to use the Service terminates immediately;
(b) you must immediately cease all use of the Service;
(c) Spatial Connect will delete personal data associated with your account in accordance with our Privacy Policy and applicable data protection law; and
(d) any provisions of these Terms that by their nature should survive termination shall survive, including without limitation Sections 1.2 (Company-only liability), 7 (User content), 8 (AI features and MCP server), 9 (Intellectual property), 11 (Disclaimers), 12 (Limitation of liability), 13 (Indemnification), 14 (Dispute resolution), 17 (Force majeure), and 18 (General provisions).
Upon account deletion (whether initiated by you or by Spatial Connect), all personal data associated with your account will be deleted from Spatial Connect's primary database systems within 30 days, subject to any legal obligations requiring retention and subject to backup and archival systems which may retain data for a longer period in accordance with the Privacy Policy.
Spatial Connect shall not be liable to you for any delay, failure, or interruption in the performance of its obligations under these Terms to the extent caused by events or circumstances beyond Spatial Connect's reasonable control, including but not limited to:
(a) natural disasters, floods, earthquakes, severe weather events, or other acts of God;
(b) war, armed conflict, terrorism, civil unrest, or acts of a hostile foreign power;
(c) pandemics, epidemics, or public health emergencies;
(d) strikes, industrial action, or labour disputes (other than those involving Spatial Connect's own employees);
(e) failure, interruption, or unavailability of electrical power, telecommunications networks, or internet infrastructure;
(f) failure, interruption, unavailability, or discontinuation of third-party services on which the Service depends, including Supabase, Cloudflare Workers, Vercel, the Anthropic API, OpenRouter, or Stytch;
(g) acts or omissions of any government, regulatory authority, or public body, including the imposition of sanctions, embargoes, or restrictions; or
(h) any other cause beyond Spatial Connect's reasonable control.
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of England and Wales.
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable in any respect, that provision shall be severed from the Terms and shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect. Where any provision is severed, the parties agree to replace it with a valid provision that most closely reflects the original intent of the severed provision.
These Terms, together with the Privacy Policy (incorporated herein by reference), constitute the entire agreement between you and Spatial Connect with respect to the Service and supersede all prior agreements, representations, warranties, negotiations, and understandings, whether written or oral, between you and Spatial Connect relating to the Service.
No failure or delay by Spatial Connect in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy prevents further exercise of that or any other right, power, or remedy. A waiver by Spatial Connect of any breach or default by you shall not constitute a waiver of any subsequent breach or default.
You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms, whether by operation of law or otherwise, without Spatial Connect's prior written consent. Any purported assignment without such consent shall be void.
Spatial Connect may freely assign or transfer these Terms, or any of its rights or obligations under them, without your consent, including in connection with a merger, acquisition, corporate restructuring, sale of all or substantially all of Spatial Connect's assets, or by operation of law.
These Terms are for the benefit of you and Spatial Connect only. Nothing in these Terms is intended to confer any benefit, right, or remedy on any third party, and no third party shall have any right to enforce any provision of these Terms under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
Your statutory rights under applicable consumer protection law are not affected by these Terms. If you have a complaint about how we handle your personal data, you may lodge a complaint with the Information Commissioner's Office (ICO) at ico.org.uk.
